Terms Of Service

These Terms of Service form a binding agreement between you and Qivioo (“Qivioo”, “we”, “us”, or “our”).

These Terms govern your access to and use of Qivioo’s websites, dashboard, storefront tools, applications, integrations, and related services. By creating an account, selecting a subscription, or using Qivioo, you agree to these Terms.

If you use Qivioo for a company or another organisation, you confirm that you have authority to accept these Terms on its behalf.

1. What Qivioo provides

Qivioo provides software that helps merchants create and operate online stores. Depending on the selected plan, configuration, and availability, the platform may include storefront hosting, custom domains, product and inventory management, order management, payment integrations, delivery settings, customer communications, analytics, marketing tools, automation, artificial intelligence features, and third-party add-ons.

Qivioo provides the technology used to operate a store. Unless we expressly state otherwise, Qivioo is not the seller of products or services offered through a merchant’s store.

2. Merchant and customer relationship

Each merchant is responsible for the business conducted through its store. The merchant is the seller of record and is responsible for:

  • Its products, services, descriptions, images, prices, and availability

  • Order acceptance, fulfilment, delivery, cancellation, returns, and refunds

  • Customer service and disputes with customers

  • Taxes, registrations, licences, permits, and regulatory obligations

  • Its privacy notice, store policies, and consumer disclosures

  • Compliance with consumer-protection, ecommerce, advertising, product-safety, and other applicable laws

A customer purchasing from a merchant enters into a transaction with that merchant. Questions concerning a product, delivery, refund, or store order should normally be directed to the merchant first.

Nothing in these Terms removes any mandatory right available to a merchant or consumer under applicable law.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to open a Qivioo account.

You must provide accurate information and keep it current. We may request information reasonably required to verify your identity, business, authority, or compliance with these Terms.

4. Your account

You are responsible for protecting your password, authentication credentials, recovery methods, and devices. You are also responsible for activity carried out through your account, including activity by employees, contractors, or other people you authorise.

Notify us promptly at [email protected] if you believe your account has been accessed without permission.

You may not sell, transfer, or share control of an account in a way that misrepresents who operates the store or avoids legal or contractual obligations.

5. Subscription plans and billing

Some Qivioo services are free, while others require a paid subscription. The features, limits, billing period, and price shown when you subscribe form part of these Terms.

Paid subscriptions renew automatically for the selected billing period unless cancelled before the next renewal date. You authorise our billing provider to charge the payment method associated with your subscription.

You may cancel a subscription through the available account or billing controls. Cancellation normally takes effect at the end of the paid billing period unless applicable law or the terms shown at purchase provide otherwise.

Fees are non-refundable after they have been charged except where a refund is required by law, expressly offered at purchase, or appropriate because of a confirmed billing error.

Prices may exclude applicable taxes unless stated otherwise. You are responsible for taxes, duties, or government charges connected with your purchase, except taxes imposed directly on Qivioo’s income.

We may change plan prices or features. When a change affects an existing paid subscription, we will provide reasonable notice and apply it from a future renewal date unless immediate action is required for legal or security reasons.

6. Store payments

Qivioo allows merchants to connect supported payment providers or offer methods such as cash on delivery, bank transfer, or manual cryptocurrency payment.

Payment services are provided by the merchant’s selected provider under that provider’s terms. Qivioo is not a bank, payment institution, money transmitter, cryptocurrency exchange, wallet custodian, or escrow provider.

Merchants are responsible for payment-provider accounts, transaction fees, settlements, chargebacks, refunds, currency conversion, and regulatory obligations connected with accepting payments.

For manual cryptocurrency payments, the merchant is responsible for the legality of the payment method, wallet-address accuracy, exchange-rate decisions, transaction verification, refunds, and any loss resulting from an incorrect address or blockchain transaction. Qivioo does not hold private keys or guarantee confirmation of a blockchain transaction.

7. Merchant responsibilities

When operating a store through Qivioo, you agree to:

  • Provide accurate information about your business and products

  • Display required business, pricing, tax, delivery, cancellation, and refund information

  • Honour valid customer orders and commitments

  • Use customer information only for lawful store operations and permitted communications

  • Obtain any consent required for marketing, tracking, cookies, WhatsApp messages, or email

  • Maintain appropriate store policies and respond to customer complaints

  • Use payment methods and integrations lawfully

  • Keep your products, content, and business practices compliant with applicable laws

8. Prohibited use

You may not use Qivioo to:

  • Break the law or facilitate unlawful activity

  • Sell counterfeit, stolen, dangerous, prohibited, or unlawfully regulated goods or services

  • Engage in fraud, deception, money laundering, sanctions evasion, or abusive conduct

  • Mislead customers about identity, products, pricing, availability, delivery, reviews, or results

  • Infringe intellectual property, privacy, publicity, or other rights

  • Send unlawful, unsolicited, or deceptive communications

  • Upload malware or attempt to access accounts, systems, or data without authorisation

  • Interfere with Qivioo’s security, availability, or normal operation

  • Scrape, reverse engineer, resell, or copy the platform except where expressly permitted

  • Use automated activity that places an unreasonable load on the service

  • Use Qivioo in a way that creates material legal, security, or reputational risk

We may investigate suspected violations and remove content, restrict features, suspend a store, or terminate an account when reasonably necessary.

9. Your content

You retain ownership of the text, photographs, product information, branding, files, and other content you submit to Qivioo.

You grant Qivioo a non-exclusive, worldwide licence to host, copy, process, adapt, transmit, and display that content only as reasonably necessary to provide, secure, maintain, and improve the service.

You confirm that you have the rights and permissions needed to use and publish your content. You are responsible for claims arising from content you submit or products you offer.

You may send us suggestions or feedback. We may use that feedback without restriction or payment, provided we do not publicly identify you without permission.

10. Customer data

As between Qivioo and the merchant, the merchant controls the customer and order information collected through its store. Qivioo processes that information to provide the platform and according to the merchant’s lawful instructions, our Privacy Policy, and applicable law.

The merchant is responsible for providing customers with an appropriate privacy notice and having a lawful basis for collecting, using, and communicating with them.

11. Artificial intelligence features

Qivioo may provide optional artificial intelligence features, including store-content assistance and order-risk review.

AI-generated material can be incomplete, inaccurate, or unsuitable. You must review generated content before publishing or relying on it. You remain responsible for product claims, translations, policies, SEO information, customer communications, and business decisions.

AI Order Review helps identify signals that may deserve attention. It is not a fraud verdict, credit decision, legal opinion, or guarantee. The store owner must make the final decision and should not automatically reject, cancel, or discriminate against a customer because of an AI result.

12. Third-party services

Qivioo may connect with payment providers, domain services, analytics platforms, messaging providers, email services, fulfilment services, review platforms, cloud storage, and other third parties.

Your use of a third-party service is also governed by that provider’s terms and privacy policy. Qivioo does not control third-party services and is not responsible for their availability, decisions, fees, security, or changes.

You authorise Qivioo to exchange information with a connected service as needed to operate the integration you enable.

13. Domains and storefront availability

You are responsible for obtaining and maintaining rights to any custom domain connected to Qivioo. You must keep domain registration, DNS, and third-party charges current.

Domain configuration and certificate activation can depend on external providers and may take time. We may disconnect a domain that is expired, misconfigured, insecure, or used in violation of these Terms.

14. Platform ownership

Qivioo owns or licenses the platform, software, design system, documentation, trademarks, and related intellectual property. These Terms give you a limited, revocable, non-transferable right to use the service for your business while your account remains active.

No ownership of Qivioo’s technology or branding is transferred to you.

15. Service operation

We work to keep Qivioo reliable and secure, but no online service is available without interruption. Maintenance, updates, provider failures, security events, internet conditions, or circumstances beyond our control may affect availability.

We may add, change, restrict, or discontinue features. Where a material change negatively affects an existing paid service, we will provide reasonable notice when circumstances allow.

16. Suspension and termination

You may stop using Qivioo at any time. Closing an account does not remove amounts already due or responsibilities arising from earlier activity.

We may suspend or terminate access if:

  • You materially or repeatedly violate these Terms

  • Required fees remain unpaid

  • Your activity threatens customers, other merchants, Qivioo, or a third party

  • We reasonably suspect fraud, unlawful activity, or a security compromise

  • A payment provider, court, regulator, or competent authority requires action

  • Continuing to provide the service would create material legal or technical risk

We will provide notice and an opportunity to correct the issue when reasonably possible. Immediate action may be taken where delay could cause harm or violate the law.

After termination, store access may stop and data may be deleted according to our Privacy Policy and retention practices. You should export information you are required to retain before closing your account.

17. Disclaimers

Qivioo is provided on an “as available” basis. To the extent permitted by law, we do not guarantee that every feature will always be uninterrupted, error-free, or suitable for every business or legal requirement.

Qivioo does not provide legal, tax, accounting, financial, compliance, or professional advice. Templates, AI output, analytics, fraud signals, and platform guidance are operational tools that must be reviewed for your circumstances.

Nothing in these Terms excludes a warranty or statutory right that cannot lawfully be excluded.

18. Limitation of liability

To the fullest extent permitted by applicable law, Qivioo will not be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, business opportunity, or data.

To the fullest extent permitted by law, Qivioo’s total liability arising from the service or these Terms will not exceed the fees paid by you to Qivioo during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot be limited under applicable law, including liability arising from fraud, wilful misconduct, or any mandatory consumer right.

19. Responsibility for claims

To the extent permitted by law, you are responsible for losses, claims, and reasonable costs incurred by Qivioo because of your unlawful store activity, your products, your content, your breach of these Terms, or your infringement of another person’s rights.

We will notify you of a covered claim and allow reasonable participation in its defence.

20. Events outside reasonable control

Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, widespread network failures, government action, labour disruption, war, civil unrest, or failures of essential third-party infrastructure.

21. Changes to these Terms

We may update these Terms to reflect changes in the service, law, security requirements, or business practices.

We will post the revised Terms and update the date shown on this page. For material changes, we will provide reasonable additional notice where required. Continued use after the effective date means you accept the revised Terms.

22. Governing law and disputes

These Terms are governed by the laws of the Sultanate of Oman.

Before beginning formal proceedings, you and Qivioo agree to make a reasonable effort to resolve the dispute directly. Contact hey (@) qivioo.com with a clear description of the issue.

If the dispute cannot be resolved, it will be submitted to the competent courts of the Sultanate of Oman, subject to any mandatory jurisdiction or consumer right that applies to you.

23. General terms

If part of these Terms is found unenforceable, the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver of it.

You may not assign these Terms without our written consent. Qivioo may assign them as part of a merger, restructuring, financing, sale of business, or transfer to an affiliated entity, subject to applicable law.

These Terms, together with the Privacy Policy and terms presented when you purchase a plan, form the agreement between you and Qivioo concerning the service.
